Este site (“Site”) é possuído e operado pela Fox Latin American Channel, Inc. e/ou sua matriz ou subsidiárias nos Estados Unidos da América e em base mundial (em conjunto designada “FLAC”). Estes termos de uso (“Termos de uso” ou “TOU”) regem e são aplicáveis ao seu uso e a qualquer uso por outra pessoa, da sua Conta de Usuário, bem como ao seu uso deste Site e Serviços (conforme definição abaixo). O seu uso do Site e/ou de qualquer Serviço significa a sua concordância em se obrigar por estes Termos de uso e pela Política de Privacidade da FLAC (“Política de Privacidade”), que ficam incorporados a este instrumento, por referência.
Para fins destes Termos de Uso, os seguintes termos definidos terão os seguintes significados: (A) “Serviço(s)” significa(m) todos e quaisquer serviços no Site ou oferecidos pelo Site, quer tais serviços sejam ou não fornecidos ou entregues por outros meios ou mídia, tais como software ou dispositivos sem fio;  (B) “Site” significa este site; (C) “Conteúdo do Site” significa todos e quaisquer elementos visuais e/ou de áudio humanamente legíveis deste Site, que sejam possuídos ou criados pela FLAC ou terceiros, incluindo-se, sem limitação, textos, gráficos, imagens, ilustrações, fotografias, animações, trabalhos de vídeo, áudio ou audiovisual (incluindo-se, sem limitação, por exemplo, trailers de filmes ou trabalhos episódicos), desenhos, logos, informações e outro conteúdo disponibilizado no Site; (D) “Código do Site” significa todos e quaisquer elementos básicos do Site, incluindo-se, sem limitação, o código fonte, roteiro, código objeto, software, programas de computador e outros conjuntos de declarações e instruções contidos no Site principal; (E) “Conta de Usuário” significa qualquer conta criada por você, por meio de um processo de registro, com a finalidade de acessar ou usar certos Serviços.

LICENÇA DE USO DO SITE
A FLAC outorga a você o direito e a licença limitados, não exclusivos e intransferíveis de acesso, uso e exibição privada do Site e do Conteúdo do Site, conforme descrito neste instrumento, apenas para o seu uso pessoal, por meio de um computador conectado ao Site pela Internet, desde que você cumpra, integralmente, estes Termos de Uso. Você poderá “armazenar em um cache” páginas do Site, com o propósito único de aumentar a velocidade e eficiência com que você acessa o Site. Qualquer outro uso ou reprodução de qualquer parte do Site não está autorizada, constituirá violação destes Termos de Uso e constituirá violação de direitos autorais. Você não deverá interferir, nem tentar interferir, com a operação do Site de nenhuma forma, por nenhum meio ou dispositivo, incluindo-se, sem limitação, por meio de spam, hacking, transmitindo vírus de computador ou time bomb ou qualquer outro meio expressamente proibido por qualquer disposição destes Termos de Uso ou por lei.

MODIFICAÇÕES DO SITE E/OU DOS TERMOS DE USO
A FLAC reserva-se o direito, a seu critério exclusivo, de modificar, alterar, acrescentar ou excluir qualquer parte do Site, do Conteúdo do Site, dos Termos de Uso e/ou da Política de Privacidade, no todo ou em parte, a qualquer tempo. As modificações dos Termos de Uso e da Política de Privacidade serão efetivas quando publicadas. Você deverá concordar em revisar os Termos de Uso e a Política de Privacidade periodicamente, para tomar conhecimento de quaisquer modificações. O uso do Site por você, após quaisquer modificações dos Termos de Uso e/ou da Política de Privacidade serem publicadas, será considerado aceitação de tais modificações e constituirá o seu consentimento em se obrigar pelos seus termos.

MODIFICAÇÕES NA PROPRIEDADE DO SITE
Você será considerado como tendo concordado com a divulgação e uso, por um proprietário ou operador posterior do Site, de quaisquer informações sobre você que estejam contidas no banco de dados aplicável da FLAC, na medida em que a FLAC faça uma cessão dos seus direitos e obrigações referentes a tais informações, com respeito a uma incorporação, aquisição ou venda de todos, ou substancialmente todos, os ativos da FLAC ou com respeito à incorporação, aquisição ou venda de todos, ou substancialmente todos, os ativos relacionados a este Site em particular a um proprietário ou operador posterior. No caso de incorporação, aquisição ou venda, o seu uso continuado do Site significará o seu consentimento em se obrigar pelos Termos de Uso e Política de Privacidade do proprietário ou operador posterior do Site.

PROPRIEDADE DE MARCAS, DIREITOS AUTORAIS, PROPRIEDADE INTELECTUAL
O Site, Conteúdo do Site, Código do Site e todos os direitos autorais, marcas de comércio, marcas de serviço, nomes comerciais e todos os demais direitos de propriedade intelectual ou direitos de propriedade sobre os mesmos são exclusivos da FLAC e são de propriedade da FLAC e/ou de suas licenciantes e seus provedores de conteúdo, e estão protegidas pelas leis de direitos autorais nacionais e internacionais aplicáveis. A menos que expressamente autorizado, por escrito, pela FLAC, você não poderá copiar, capturar, reproduzir, fazer, transferir, vender, licenciar, modificar, manipular, criar trabalhos derivativos, ou republicar, transferir, editar, publicar, transmitir, exibir publicamente, estruturar, fazer o link, distribuir ou explorar, no todo ou em parte, o Site, Conteúdo do Site ou Código do Site, ou de outro modo utilizar o Site, o Conteúdo do Site ou o Código do Site em qualquer outro site da Internet, em outro ambiente de computador em rede ou em qualquer veículo conhecido atualmente ou que venha a ser posteriormente desenvolvido (cada um sendo designado “Uso Não Autorizado”).

O Uso Não Autorizado constitui violação dos direitos autorais e outros direitos exclusivos da FLAC e/ou de suas licenciantes e seus provedores de conteúdo e constitui violação destes Termos de Uso. A violação das leis de direitos autorais poderá estar sujeita a sanções cíveis e criminais severas.

SOFTWARE
De tempo em tempo, e a seu critério exclusivo, a FLAC poderá disponibilizar aos usuários um software que possa ser acessível deste Site ou que possa ser baixado deste Site. Na hipótese de você acessar ou baixar qualquer software deste Site, o software, incluindo quaisquer arquivos, imagens incorporadas ou geradas pelo software e os dados que acompanham o software (em conjunto designado “Software”) ficam licenciados a você pela FLAC ou por um terceiro que seja o provedor de software aprovado pela FLAC (“Terceiro Provedor”). A FLAC não transfere a titularidade sobre o Software a você. Você terá a propriedade do veículo em que o Software for gravado, mas a FLAC e/ou o Terceiro Provedor reterá título integral e completo sobre o seu respectivo Software e todos os direitos de propriedade intelectual sobre o Software. Você não poderá redistribuir, vender, decompilar, proceder à engenharia reversa, desmontar ou de outro modo reduzir o Software a uma forma humanamente compreensível.  Ademais, o seu uso de qualquer Software de um Terceiro Provedor estará sujeito aos termos e condições estabelecidos pelo referido Terceiro Provedor e a qualquer contrato de licença aplicável ao Software. O Software deste Site está ainda sujeito aos controles de exportação dos Estados Unidos. Nenhum software deste Site poderá ser baixado ou de outro modo exportado ou reexportado (i) para um cidadão ou residente de Cuba, Irã, Iraque, Líbia, Coréia do Norte, Sudão, Síria ou qualquer outro país para o qual os Estados Unidos tenham embargado produtos; ou (ii) a qualquer pessoa que conste da lista do Departamento do Tesouro dos Estados Unidos de Cidadãos Especialmente Designados ou da Tabela de Pedidos Negados do Departamento de Comércio dos Estados Unidos da América. Ao baixar ou usar o Software, você declara e garante que você não está localizado em nenhum dos referidos países nem sob o controle de qualquer dos referidos países e que não é cidadão ou residente de nenhum dos referidos países e não está incluído na referida lista.
 
APRESENTAÇÕES
A FLAC fica satisfeita em ouvir os seus clientes, e quaisquer comentários com referência aos produtos e serviços da FLAC, inclusive deste Site, são muito bem vindos. Porém, infelizmente, a política da empresa, há muito existente, não permite que a FLAC aceite ou considere idéias criativas (inclusive histórias, idéias sobre personagens, roteiros e arte final original, etc.), sugestões ou materiais, salvo os que tenham sido especificamente solicitados (veja abaixo). Embora nós valorizemos o seu retorno, solicitamos que você seja específico nos seus comentários referentes aos nossos serviços e produtos e que você não apresente nenhuma idéia criativa, sugestão ou material. A intenção desta política é evitar a possibilidade de futuros equívocos quando os projetos desenvolvidos pelos profissionais da FLAC ou de suas afiliadas puderem parecer, a terceiros, semelhantes ao seu próprio trabalho criativo.
Se, por nossa solicitação, você enviar ou publicar (por exemplo, por meio de painéis de mensagem ou concursos) certas apresentações específicas ou, apesar de nossa solicitação de que você não nos envie nenhuma idéia criativa, sugestões ou outros materiais, você assim proceder (em conjunto designadas “Apresentações”), as Apresentações serão consideradas e permanecerão sendo de propriedade exclusiva da FLAC. Nenhuma das Apresentações estará sujeita a qualquer obrigação de confidencialidade por parte da FLAC e a FLAC não será responsável pelo uso ou divulgação de quaisquer Apresentações. Sem que se restrinja o disposto acima, a FLAC possuirá, com exclusividade, os direitos autorais e todos os direitos existentes atualmente ou que possam existir no futuro sobre as Apresentações de qualquer tipo e natureza, em caráter perpétuo e universal, e a FLAC terá o direito de usar, reproduzir, modificar, adaptar, publicar, traduzir, licenciar, criar trabalhos derivativos e distribuir tais materiais ou incorporar tais Apresentações em qualquer forma, veículo ou tecnologia atualmente conhecida ou que venha a ser posteriormente desenvolvida, em caráter universal, para qualquer fim, comercial ou outro, sem nenhuma remuneração aos que fornecerem as Apresentações.  Ademais, você garante que suas Apresentações não infringem os chamados “direitos morais” ou outros direitos análogos ou semelhantes de qualquer pessoa, de acordo com quaisquer leis aplicáveis em qualquer país ou região do mundo. A lei aplicável poderá restringir ou limitar as disposições acima deste parágrafo. Nesse caso, sem limitação do disposto acima, você concorda que, em nenhuma hipótese, a responsabilidade total da FLAC poderá exceder US$2.000,00 (dois mil dólares americanos).
Você concorda em indenizar a FLAC por todas e quaisquer reivindicações, danos, prejuízos e causas de ação que surjam em virtude de suas Apresentações ou da falha, por sua parte, de cumprir estes Termos de Uso. A FLAC não revisa e não pode revisar todas as Apresentações e não é responsável pelo conteúdo ou teor de tais Apresentações. Porém, a FLAC reserva-se o direito de excluir, mover ou editar Apresentações que, a seu critério exclusivo, pareçam abusivas, difamatórias, obscenas, ou em violação de leis de direitos autorais ou marcas, ou em violação dos direitos de privacidade ou publicidade de qualquer pessoa, ou de outro modo inaceitáveis.
Favor consultar as DIRETRIZES PARA USO DOS SERVIÇOS abaixo, para obter informações adicionais referentes às Apresentações.

SERVIÇOS DA FLAC E NORMAS DE USO
Para conveniência de seus visitantes, a FLAC poderá oferecer ocasionalmente e a seu critério exclusivo um ou mais Serviços, tais como áreas de bate-papo, painéis de mensagem, funções de e-mail, serviço de mensagem instantânea, correio de voz, comunidades, pesquisas de opinião pública, pesquisas de mercado e outros serviços. Tais serviços são fornecidos pela FLAC a você e a terceiros sujeitos a estes Termos de Uso, às Diretrizes estabelecidas abaixo, à Política de Privacidade e a outras normas que possam ser publicadas, ocasionalmente, pela FLAC (em conjunto designadas “Normas”). Atualmente, a FLAC oferece os Serviços gratuitamente aos usuários que concordam em se obrigar pelas Normas e em cumpri-las. A FLAC reserva-se o direito de modificar a natureza de seu relacionamento, a qualquer tempo.
Se a FLAC fornecer conteúdo de entretenimento baixável (“downloadable”) para celular, tais como toques, jogos, gráficos, notícias e outros dados de informação via Internet, SMS, MMS, WAP, BREW, IVR e outras formas de entrega de conteúdo móvel para determinados dispositivos móveis compatíveis, o fornecedor de serviço de telefonia celular não é responsável pelo conteúdo ou por qualquer propaganda contidos em tal conteúdo. Tais serviços poderão envolver custos a serem pagos para a FLAC ou para seu fornecedor de serviço de telefonia celular. É sua responsabilidade verificar se o conteúdo é compatível com seu telefone. Marcas, senhas e conteúdo estão sujeitos a alterações sem aviso. O tempo de baixa (“download”) pode variar dependendo do congestionamento da rede do fornecedor de serviço de telefonia celular. Estes serviços são somente para fins de entretenimento e a interpretação e o uso são de sua exclusiva responsabilidade. Todos os custos são automáticos e não podem ser invalidados devido a um erro no código entregue. Quando aplicável e sujeito ao seu fornecedor de  serviço de telefonia celular, serão devidos custos serão com relação ao uso de WAP para transmissão de dados por baixa (“download”) e navegação em WAP. Seu telefone deve ser compatível com WAP e configurado corretamente para baixa (“download”) de imagens (protetores de tela) e toques (músicas reais, polifônicas, “crazytones”, sons reais, tons de voz).
No interesse de melhorar de forma contínua os serviços que prestamos, a FLAC poderá realizar pesquisas de tempos em tempos com os seus usuários/assinantes. Para facilitar a realização dessas pesquisas, o usuário/assinante [aqui identificado] declara que concorda e aceita que a FLAC utilize o e-mail ou outro meio de comunicação fornecido para que a FLAC o convide para participar de tais pesquisas.

REGISTRO E ACEITAÇÃO DOS TERMOS
Como contraprestação pelo uso, por sua parte, dos Serviços, você concorda (i) em cumprir as Normas, (ii) fornecer informações corretas, completas e precisas sobre você, que possam ser necessárias em qualquer formulário de registro dos Serviços (suas “Informações de Registro”), a fim de criar a sua Conta de Usuário, e (iii) manter e atualizar, conforme aplicável, suas Informações de Registro com informações atuais e completas. Os usuários que violarem as Normas ou fornecerem Informações de Registro imprecisas, falsas ou não atualizadas poderão, a critério exclusivo da FLAC, ter suas Contas de Usuário suspensas ou encerradas e poderão ser proibidos do uso de quaisquer Serviços atuais ou futuros, em caráter permanente.
Como parte de sua Conta de Usuário, você será responsável por criar e manter a confidencialidade do seu nome de usuário e senha. Solicitamos que você selecione um nome de usuário que não seja seu nome verdadeiro ou o nome verdadeiro de qualquer outra pessoa. Insistimos que você memorize sua senha ou a mantenha em local seguro, longe das suas demais informações de Conta de Usuário, uma vez que o compartilhamento da sua senha com terceiros poderá levar ao acesso não autorizado à sua Conta de Usuário e às informações dela constantes. Você concorda em (i) imediatamente notificar a FLAC sobre qualquer uso não autorizado da sua Conta de Usuário, e (ii) assegurar-se de sair, de forma adequada, de todos os Serviços, após a conclusão de sua sessão de uso. A FLAC não terá nenhuma responsabilidade por qualquer dano ou prejuízo resultante do uso, de sua parte, de uma Conta de Usuário, do Site ou de qualquer Serviço, ou da sua falha em cumprir tais requisitos.

DIRETRIZES PARA USO DOS SERVIÇOS
Você será inteiramente responsável por todas as atividades conduzidas por você e/ou por qualquer outro usuário da sua Conta de Usuário e dos Serviços, inclusive pela transmissão, publicação ou outra disposição de texto, arquivos, links, software, fotografias, vídeo, som, música ou outras informações ou materiais (“Conteúdo Publicado”) a qualquer parte dos Serviços. Seguem abaixo algumas, mas não todas, das violações que podem resultar no encerramento ou suspensão, pela FLAC, de sua Conta de Usuário e/ou acesso aos Serviços da FLAC. Você concorda em não praticar nenhum dos seguintes atos durante o uso de qualquer Serviço da FLAC:

1. Assediar, ameaçar, constranger ou causar desconforto ou constrangimento a qualquer outro participante ou usuário do Serviço ou a qualquer outra pessoa física ou jurídica;
2. Transmitir, com respeito a qualquer Serviço, Conteúdo Publicado que a FLAC, a seu critério exclusivo, considere disruptivo, ilegal, prejudicial, ameaçador, abusivo, vexatório, difamatório, vulgar, obsceno, odioso ou com motivação racial ou étnica ou de outro modo repreensível;
3. Fazer com que qualquer tela de bate-papo em qualquer sala de bate-papo “corra” mais rápido do que os outros usuários sejam capazes de digitar, ou qualquer outro ato com efeito disruptivo semelhante;
4. Em qualquer Serviço, fazer-se passar por qualquer outra pessoa, incluindo-se, sem limitação, diretor ou representante da FLAC, líder de bate-papo ou de painel de mensagens, guia ou anfitrião;
5. Romper o fluxo normal de diálogo em uma sala de bate-papo ou agir de forma que afete, de modo adverso, os outros participantes;
6. Publicar ou transmitir qualquer propaganda, materiais promocionais não solicitados ou fazer qualquer outra forma de solicitação nos Serviços;
7. Violar, intencionalmente ou não, qualquer lei municipal, estadual, federal ou internacional aplicável, incluindo-se, sem limitação, quaisquer regulamentos que tenham força de lei, durante o uso ou acesso a quaisquer Serviços;
8. Invadir a privacidade ou violar qualquer direito móvel ou imóvel de qualquer pessoa física ou jurídica; ou
9. Infringir os direitos de propriedade intelectual ou direitos semelhantes, incluindo-se, sem limitação, direitos autorais e de marca de comércio, de qualquer pessoa física ou jurídica.

Você reconhece que qualquer conteúdo que você transferir para o Site e/ou colocar no Site ou em qualquer Serviço constituirá uma Apresentação, para todos os fins destes Termos de Uso.

SITES COM LINK
Os sites da FLAC poderão exibir e/ou conter links com propagandas de sites que não sejam da FLAC. Outros sites também podem fazer referência, anunciar ou conter links com os sites da FLAC. A FLAC não endossa nem patrocina outros sites da Internet, não é responsável pelas práticas de privacidade ou pelo conteúdo de sites que não sejam da FLAC, exclui, expressamente, quaisquer declarações ou assertivas feitas em tais sites e nega toda a responsabilidade associada com o seu uso e com o conteúdo dos outros sites e anúncios.

NÃO RESIDENTES NOS ESTADOS UNIDOS
A FLAC não faz nenhuma declaração de que o Conteúdo do Site, inclusive a mercadoria oferecida para venda no Site e seus direitos autorais, marcas de comércio, patentes e acordos de licenciamento sejam apropriados ou estejam disponíveis para uso em locais que não sejam os Estados Unidos da América. Aqueles que optarem por acessar o Site de locais fora dos Estados Unidos da América assim procederão por sua própria iniciativa e por sua própria conta e risco, e serão responsáveis pelo cumprimento de todas as leis locais, se e na medida em que as leis locais sejam aplicáveis. Com respeito ao envio de mercadoria a consumidores, onde quer que possam residir, o título sobre a mercadoria e o risco de perda passarão ao comprador, após a entrega da mercadoria à transportadora comum.

QUESTÕES JURISDICIONAIS
O Site é controlado e operado pela FLAC dos seus escritórios localizados no Estado da Califórnia, Estados Unidos da América. O uso deste Site constitui o seu consentimento e submissão à citação de acordo com as leis aplicáveis da Califórnia ou dos Estados Unidos da América e com a jurisdição pessoal de uma Corte com jurisdição competente no Estado da Califórnia, para fins de qualquer ação legal ou reivindicação referente a estes Termos de Uso ou decorrente do uso de sua Conta de Usuário e/ou de qualquer Site ou Serviço da FLAC.

TÉRMINO
Você reconhece e concorda que a FLAC poderá, a seu critério exclusivo e a qualquer tempo, cancelar a sua senha, Conta de Usuário ou o uso de quaisquer Serviços, e descartar e remover todas e quaisquer Apresentações enviadas ou publicadas por você em qualquer Site ou Serviço da FLAC, por qualquer motivo. A FLAC poderá ainda, a seu critério exclusivo e a qualquer tempo, cancelar quaisquer Sites ou Serviços ou limitar ou restringir qualquer acesso de usuário aos mesmos, por qualquer motivo. Você reconhece e concorda que a FLAC poderá praticar um ou mais de tais atos sem qualquer notificação a você, quer anteriormente ou de outra forma. Se a FLAC praticar qualquer dos referidos atos poderá, a seu critério exclusivo, imediatamente desativar e/ou excluir qualquer ou todas as informações sobre sua Conta de Usuário, inclusive suas Informações de Registro e Apresentações. Você reconhece e concorda que a FLAC não terá nenhuma responsabilidade perante você ou qualquer outra pessoa pelo término do seu acesso a quaisquer Serviços e/ou remoção das informações referentes à sua Conta de Usuário.

EXCLUSÃO
O SITE, CONTEÚDO DO SITE, CÓDIGO DO SITE, SERVIÇOS E O SOFTWARE, SE APLICÁVEL, SÃO FORNECIDOS “NO ESTADO EM QUE SE ENCONTRAM”, “COM TODAS AS FALHAS” E “CONFORME DISPONÍVEIS” E SEM GARANTIA DE QUALQUER ESPÉCIE, TÁCITA OU EXPRESSA.  NA MEDIDA MÁXIMA PERMITIDA PELA LEI APLICÁVEL, A FLAC EXCLUI TODAS AS GARANTIAS, EXPRESSAS OU TÁCITAS, INCLUINDO-SE, SEM LIMITAÇÃO, GARANTIAS TÁCITAS E CONDIÇÕES DE COMERCIABILIDADE E ADEQUAÇÃO A UM FIM ESPECÍFICO, CAPACIDADE, TÍTULO E NÃO VIOLAÇÃO. A FLAC NÃO GARANTE QUE A DISPONIBIIDADE OU AS FUNÇÕES CONTIDAS NO SITE, CONTEÚDO DO SITE, CÓDIGO DO SITE, SERVIÇOS OU SOFTWARE SERÃO ININTERRUPTOS OU LIVRES DE ERRO, QUE OS DEFEITOS SERÃO CORRIGIDOS OU QUE ESTE SITE, O CONTEÚDO DO SITE, CÓDIGO DO SITE, O SERVIDOR QUE OS TORNE DISPONÍVEIS OU O SOFTWARE ESTEJAM LIVRES DE VÍRUS OU OUTROS COMPONENTES PREJUDICIAIS OU QUE O SITE, CONTEÚDO DO SITE, CÓDIGO DO SITE, SOFTWARE OU SERVIDOR NÃO INFRINGEM NENHUMA PATENTE OU OUTROS DIREITOS DE PROPRIEDADE INTELECTUAL DE QUALQUER PESSOA. A FLAC NÃO GARANTE NEM FAZ DECLARAÇÕES REFERENTES AO USO OU AOS RESULTADOS DO USO DO SITE, CONTEÚDO DO SITE, CÓDIGO DO SITE, SERVIÇOS OU SOFTWARE, EM TERMOS DE SUA CORREÇÃO, PRECISÃO, CONFIABILIDADE OU DE OUTRO MODO. VOCÊ (E NÃO A FLAC) ASSUME O RISCO INTEGRAL QUANTO À QUALIDADE E DESEMPENHO DO SITE, CONTEÚDO DO SITE, CÓDIGO DO SITE, SERVIÇOS OU SOFTWARE, BEM COMO O CUSTO INTEGRAL DE TODOS OS SERVIÇOS, REPAROS OU CORREÇÕES NECESSÁRIAS, SE HOUVER QUAISQUER DEFEITOS. A LEI APLICÁVEL PODERÁ NÃO PERMITIR A EXCLUSÃO DE GARANTIAS TÁCITAS, DE FORMA QUE A EXCLUSÃO ACIMA PODERÁ NÃO SER APLICÁVEL A VOCÊ.

LIMITAÇÃO DE RESPONSABILIDADE

This Web site (the "Site") is owned and operated by Fox Latin American Channel, Inc., or one of its parent or subsidiary companies within the United States or worldwide (collectively, "FLAC"). These terms of Use (the "Terms of Use" or "TOU") apply to and govern your use, and any use by another person, of your User Account, as well as your use of this Site and the Services (as defined below). Your use of the Site and/or any Service signifies your agreement to be bound by these Terms of Use and the FLAC Privacy Policy (“Privacy Policy”), which is hereby incorporated by reference.
For purposes of the TOU, the following defined terms shall have these meanings: (A) "Service(s)" shall mean any and all services on, or provided by, the Site, whether or not such services are also provided or delivered by other means or media such as software or wireless devices; (B) "Site" shall mean this site; (C) "Site Content" shall mean any and all human readable patent audio and/or visual elements of this Site, created or owned by FLAC, or third parties, including, without limitation, any text, graphics, images, illustrations, photographs, animations, video, audio or audiovisual works (including, for example, without limitation, movie trailers or episodic works), designs, logos, information, and other content made available through the Site; (D) "Site Code" means any and all underlying elements of the Site, including without limitation, source code, script, object code, software, computer programs, and other sets of statements and instructions contained in the underlying Site; (E) "User Account" means any account created by you, through a registration process for the purpose of accessing or using certain Services.

LICENSE TO USE THE SITE
FLAC grants you a non-exclusive, non-transferable, limited right and license to access, use and privately display the Site and the Site Content as described herein for your personal use only, by way of one (1) computer connected to the Site over the Internet, provided that you comply fully with these TOU. You may "cache" pages of the Site for the sole purpose of increasing the speed and efficiency at which you access the Site. Any other copy or use of a portion of the Site is not authorized, will be a violation of these TOU and will constitute a copyright violation. You shall not interfere, or attempt to interfere, with the operation of the Site in any way through any means or device, including, but not limited to, spamming, hacking, uploading computer viruses or time bombs, or any other means expressly prohibited by any provision of these TOU or by law.

CHANGES TO SITE AND/OR TERMS OF USE
FLAC reserves the right, at its sole discretion, to change, modify, add or remove any portion of the Site, the Site Content, the TOU, and/or the Privacy Policy, in whole or in part, at any time. Changes to the TOU and Privacy Policy will be effective when posted. You agree to review the TOU and Privacy Policy periodically to become aware of any changes. Your use of the Site after any changes to the TOU and/or Privacy Policy are posted will be considered acceptance of those changes and will constitute your agreement to be bound thereby.

CHANGES IN SITE OWNERSHIP
You will be deemed to have consented to the disclosure to, and use by, a subsequent owner or operator of the Site, of any information about you contained in the applicable FLAC database, to the extent FLAC assigns its rights and obligations regarding such information in connection with a merger, acquisition, or sale of all or substantially all of FLAC's assets, or in connection with a merger, acquisition or sale of all or substantially all of the assets related to this particular Site to a subsequent owner or operator. In the event of such a merger, acquisition, or sale, your continued use of the Site signifies your agreement to be bound by the Terms of Use and Privacy Policy of the Site's subsequent owner or operator.

OWNERSHIP OF TRADEMARKS, COPYRIGHTS, INTELLECTUAL PROPERTY
The Site, Site Content, Site Code, and all copyrights, trademarks, service marks, trade names and all other intellectual property or property rights therein are proprietary to FLAC and are owned by FLAC and/or its licensors and content providers, and are protected by applicable domestic and international copyright laws. Any Unauthorized Use constitutes an infringement of the copyrights and other proprietary rights of FLAC and/or its licensors and content providers and constitutes a violation of these TOU. Any violation of copyright laws may be subject to severe civil and criminal penalties.

SOFTWARE
From time to time, and at its sole discretion, FLAC may make available to users certain software that may be accessible or downloaded from this Site. In the event that you access or download software from this Site, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") are licensed to you by FLAC or a FLAC-approved third party software provider ("Third Party Provider"). FLAC does not transfer title to the Software to you. You own the medium on which the Software is recorded, but FLAC and/or the Third Party Provider retain full and complete title to their respective Software, and all intellectual property rights therein. You may not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form. Furthermore, your use of any Software of a Third Party Provider shall be subject to the terms and conditions set forth by such Third Party Provider and any applicable license agreement for its Software. Software from this Site is further subject to United States export controls. No software from this Site may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, or any other country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. SUBMISSIONS
FLAC is pleased to hear from its customers and welcomes your comments regarding FLAC products and services, including this Site. Unfortunately, however, FLAC's long-standing company policy does not allow it to accept or consider creative ideas (including stories, character ideas, screenplays, and original artwork, etc.), suggestions, or materials other than those it has specifically requested (see below). While we value your feedback, we request that you be specific in your comments regarding our services and products, and that you not submit any creative ideas, suggestions, or materials. It is the intent of this policy to avoid the possibility of future misunderstandings when projects developed by FLAC's or its affiliates' professional staff might seem to others to be similar to their own creative work.
If, at our request, you send or post (e.g., via message boards or contests) certain specific submissions, or, despite our request that you not send us any creative ideas, suggestions or other materials, you do so (collectively, the "Submissions"), the Submissions shall be deemed, and shall remain, the exclusive property of FLAC. None of the Submissions shall be subject to any obligation of confidence on the part of FLAC, and FLAC shall not be liable for any use or disclosure of any Submissions. Without limitation of the foregoing, FLAC shall exclusively own the copyright and all now known or hereafter existing rights to the Submissions of every kind and nature, in perpetuity, throughout the universe, and FLAC shall be entitled to use, reproduce, modify, adapt, publish, translate, license, create derivative works from and distribute such materials or incorporate such Submissions into any form, medium, or technology now known or later developed throughout the universe, for any purpose whatsoever, commercial or otherwise, without compensation to those who provide the Submissions. In addition, you warrant that your Submissions do not violate any person's so-called "moral rights" or other similar or analogous rights under any applicable laws in any country or region of the world. Applicable law may restrict or limit the foregoing provisions of this paragraph. If so, without limitation of the foregoing, you agree that, in no event, shall FLAC's total liability exceed US$2,000.00.
You agree to indemnify FLAC for any and all claims, damages, losses, and causes of action arising as a result of your Submissions or your failure to comply with the TOU. FLAC does not and cannot review all Submissions and is not responsible for the content or substance of these Submissions. However, FLAC reserves the right to delete, move, or edit Submissions that it, in its sole discretion, deems to be abusive, defamatory, obscene, in violation of copyright or trademark laws, or in violation of any person's rights of privacy or publicity, or otherwise unacceptable.

FLAC SERVICES AND RULES FOR USE
As a convenience to its visitors, FLAC may provide, from time to time and at its sole discretion, one or more Services, such as chat areas, message boards, e-mail functions, instant messaging service, voice-mail, file communities, polls, surveys, and other services. These Services are provided by FLAC to you and others subject to the TOU, the Guidelines set forth below, the Privacy Policy, and other rules that may be published from time to time (collectively, the "Rules") by FLAC. FLAC currently provides the Services free of charge to users who agree to be bound and abide by the Rules. FLAC reserves the right to change the nature of this relationship at any time.

If FLAC provides downloadable mobile entertainment content, such as ringtones, games, graphics, news and other information data via the Internet, SMS, MMS, WAP, BREW, IVR and other means of mobile content delivery to certain compatible mobile devices, the cell phone service provider is not responsible for the content, the service, or any advertising therein contained.  Such services may involve charges in favor of FLAC or your cell phone service provider.  It is your responsibility to verify that the content is compatible with your phone.  Marks, passwords and content are subject to change without notice.  Download time may vary depending on congestion of the cell phone service provider’s network. These services are for entertainment purposes only and interpretation and use is exclusively your responsibility.  All charges are automatic and cannot be invalidated because of an error in the code sent. When applicable and subject to your cell phone service provider, charges will apply for WAP usage for data transmissions per download and WAP navigation. Your phone must be WAP compatible and configured correctly for image (wallpapers screensavers) and ringtone (real music, polifónicos, crazytones, real sounds, voice-tones) downloads.

REGISTRATION AND ACCEPTANCE OF TERMS
In consideration for your use of the Services, you agree to (i) comply with the Rules, (ii) provide accurate, complete and true information about yourself as may be required on any registration form for Services (your "Registration Information") in order to create your User Account, and (iii) maintain and update, as applicable, your Registration Information with current and complete information. Users who violate the Rules, or provide inaccurate, false, or non-current Registration Information may, at FLAC’s sole discretion, have their User Accounts suspended or terminated, and may be permanently banned from using any current or future Services.
As part of your User Account, you will be responsible for creating, and maintaining the confidentiality of, your user name and password. We ask that you select a user name other than your real name or the real name of any other person. We also urge you to memorize your password or keep it in a secure place, away from the rest of your User Account information, as sharing your password with others may lead to unauthorized access to your User Account and the information therein. You agree that you will (i) immediately notify FLAC of any unauthorized use of your User Account, and (ii) ensure that you properly exit all Services at the completion of your use session. FLAC shall have no liability for any loss or damage arising from your use of a User Account, the Site or any Service, or your failure to comply with these requirements.

GUIDELINES FOR USE OF THE SERVICES
You are entirely responsible and liable for all activities conducted by you, and/or any other user of your User Account and of the Services, including the transmission, posting, or other provision of text, files, links, software, photographs, video, sound, music or other information or material ("Posted Content") to any portion of the Services. Listed below are some, though not all, violations that may result in FLAC terminating or suspending your User Account and/or access to FLAC Services. You agree not to do any of the following actions while using any FLAC Service:

1. Harass, threaten, embarrass or cause distress or discomfort upon another Service participant, user, or other individual or entity;
2. Transmit, in connection with any Service, any Posted Content that FLAC, in its sole discretion, considers to be disruptive, unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially or ethnically-motivated, or otherwise objectionable;
3. Cause any chat room screen in any chat room to "scroll" faster than other users are able to type to it or any action of a similar disruptive effect;
4. Impersonate in any Service, any person, including but not limited to, a FLAC official or representative, chat or message board leader, guide or host;
5. Disrupt the normal flow of dialogue in a chat room or otherwise act in a manner that negatively affects other participants;
6. Post or transmit any unsolicited advertising, promotional materials, or any other forms of solicitation in the Services;
7. Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, any regulations having the force of law while using or accessing any Services;
8. Invade the privacy or violate any personal or proprietary right of any person or entity; or
9. Infringe the intellectual property rights or similar rights, including but not limited to copyrights and trademarks, of any person or entity.

You understand that any content that you upload and/or post on the Site or any Service shall constitute a Submission for all purposes of these TOU.

LINKED SITES
FLAC sites may frame, and/or contain links to or advertisements about, non-FLAC Web sites. Other sites may also reference, advertise, or link to FLAC sites. FLAC does not endorse or sponsor other Web sites and is not responsible for the content of such sites. FLAC expressly disclaims any statements or assertions made on non-FLAC Web sites, and denies all liability associated with your use of, and the content on, such other sites and advertisements.

NON-UNITED STATES RESIDENTS
FLAC makes no representation that the Site Content, including merchandise offered for sale on the Site, and their copyrights, trademarks, patents, and licensing arrangements, are appropriate or available for use in locations other than the United States of America. Those who choose to access the Site from locations outside of the U.S.A. do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent local laws are applicable. With respect to shipments of merchandise to consumers, wherever they may reside, title to the merchandise and risk of loss shall pass to the buyer upon delivery of the merchandise to the common carrier.

JURISDICTIONAL ISSUES
The Site is controlled and operated by FLAC from its offices within the State of California, United States of America. Use of this Site constitutes your consent and submission to service of process under applicable United States or California law and to personal jurisdiction in a court of competent jurisdiction in the State of California for the purposes of any legal action or claim pertaining to these Terms of Use, or arising from the use of your User Account and/or any FLAC Site or Service.

TERMINATION
You understand and agree that FLAC may, in its sole discretion and at any time, terminate your password, User Account, or use of any Services, and discard and remove any and all Submissions submitted or posted by you to any FLAC Site or Service, for any reason. FLAC may also, in its sole discretion and at any time, discontinue any Sites or Services or limit or restrict any user access thereto, for any reason. You understand and agree that FLAC may take any one or more of these actions without any notice to you, prior or otherwise. Should FLAC take any of these actions, it may, in its sole discretion, immediately deactivate and/or delete any or all information about and concerning your User Account, including your Registration Information and Submissions. You understand and agree that FLAC shall not have any liability to you or any other person for any termination of your access to any Services and/or the removal of information concerning your User Account.

OTHER
GOVERNING LAW; ARBITRATION
These Terms of Use and the Privacy Policy shall be construed and enforced in accordance with the laws of the State of California without regard to the choice of law principles thereof. You agree that any and all disputes or controversies of any nature arising at any time related to the Site, these Terms of Use or the Privacy Policy shall be determined by court situated in Los Angeles, California, United States of America and any such court is considered competent and convenient as to any such dispute or controversy.
Nothing in this paragraph shall prevent either party from seeking interlocutory and/or injunctive relief from a court of competent jurisdiction pursuant to the preceding paragraph.

SEVERABILITY
If any provision of the TOU shall be held unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

COMPLIANCE WITH LAWS
You agree to comply with all applicable laws, rules and regulations in connection with your activities under this TOU, including without limitation the applicable regulations of the U.S. Department of Commerce and the United States Export Administration Act, as amended to assure that the Site Content, Site Code, and the Software are not exported in violation of the United States laws.
